1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Iris Secure Technology Solutions ("Iris Secure," "we," "our," or "us"). By accessing or using any of our platforms, services, or applications, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our services. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Scope — Platforms & Services
These Terms apply to all Iris Secure platforms and services:

Main website, blog, portfolio, contact, scheduling, and newsletter services
Iris Workspace
Team collaboration, project management, and business productivity tools
Iris Financial
Financial management, invoicing, expense tracking, and Plaid-powered bank integrations
Iris Pay
Cross-border payment collection via Stripe, commission management, currency conversion, and local payouts via Wise
IrisMeet
Video conferencing, real-time polls, meeting scheduling, and guest access features
PawaPay Integration
Mobile money payment processing and transaction relay for connected applications
3. Account Registration & Responsibilities
3.1 Account Creation
To access certain features, you must register an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
3.2 Account Security
- You are responsible for maintaining the confidentiality of your login credentials.
- You must use a password of at least 8 characters.
- You must immediately notify us of any unauthorized use of your account.
- You are responsible for all activities that occur under your account.
3.3 Multi-Tenant Access
For platforms supporting team access (Iris Workspace, Iris Financial), account administrators are responsible for managing team member permissions and ensuring appropriate access controls within their organization.
4. Acceptable Use Policy
You agree not to:
- Use our services for any unlawful, fraudulent, or abusive purpose.
- Violate any applicable laws, regulations, or third-party rights.
- Attempt to gain unauthorized access to our systems or other users' accounts.
- Upload or transmit viruses, malware, or other malicious code.
- Interfere with or disrupt the integrity or performance of our services.
- Use automated means (bots, scrapers) to access our services without permission.
- Process payments for illegal goods or services through Iris Pay.
- Use IrisMeet for recording or distributing content without participants' consent.
- Misrepresent your identity or affiliation with any person or entity.
- Reverse engineer, decompile, or disassemble any part of our software.
5. Service-Specific Terms
5.1 Iris Pay
- Iris Pay facilitates payment collection via Stripe, commission deduction, currency conversion, and local payouts via Wise.
- Commission rates are tiered: Starter 10%, Growth 8%, Professional 5%, Enterprise custom.
- You acknowledge that exchange rates fluctuate and payouts are calculated at the time of processing.
- Sellers are responsible for compliance with their local tax obligations.
- Iris Secure reserves the right to suspend accounts engaged in fraudulent transactions.
- Stripe's and Wise's respective terms of service also apply to transactions processed through their platforms.
5.2 Iris Financial
- Bank account connections are facilitated through Plaid. Plaid's terms of service and privacy policy also apply.
- Financial data displayed is for informational purposes and does not constitute financial advice.
- You are responsible for the accuracy of invoices and financial records you create.
5.3 IrisMeet
- Video conferencing streams are processed in real-time and not stored by Iris Secure.
- Guest participants may access polls and certain features without registration by providing a name and email.
- Meeting organizers are responsible for the conduct of participants in their meetings.
5.4 Iris Workspace
- You retain ownership of all content you create within Iris Workspace.
- We provide the tools; you are responsible for your business decisions based on data within the platform.
5.5 PawaPay Integration
- PawaPay transaction callbacks are processed and relayed to connected applications.
- Connected application owners are responsible for maintaining valid API endpoints.
- Failed relay attempts are retried up to 3 times with exponential backoff.
6. Payment Terms
- Paid services are billed as described at the time of purchase or subscription.
- All fees are non-refundable unless otherwise stated or required by applicable law.
- We reserve the right to change pricing with 30 days' advance notice.
- Iris Pay commission rates are set by your subscription tier and applied automatically.
- Failure to pay fees may result in service suspension.
- For Iris Pay sellers: payouts are aggregated and processed according to the payout schedule defined in your seller dashboard.
7. Intellectual Property
7.1 Our Property
All content, features, and functionality of our platforms — including software, text, graphics, logos, and design — are owned by Iris Secure Technology Solutions and protected by international copyright, trademark, and other intellectual property laws.
7.2 Your Content
You retain ownership of content you upload, create, or submit through our services. By submitting content, you grant us a limited, non-exclusive license to use, store, and display that content solely for the purpose of providing our services to you.
7.3 Custom Development
For custom software development projects, intellectual property ownership and licensing terms are defined in the project's individual Statement of Work (SOW) or contract.
8. SMS Communications
By providing your mobile phone number and opting in, you expressly consent to receive recurring automated text messages from Iris Secure at the number provided. Consent is not a condition of any purchase or use of our services.
- Message Frequency: Up to 4 messages per month, varying based on account activity.
- Message & Data Rates: May apply depending on your mobile carrier and plan. Iris Secure is not responsible for carrier charges.
- Opt-Out: Reply STOP to any message. Additional keywords: CANCEL, END, QUIT, UNSUBSCRIBE.
- Help: Reply HELP to any message or contact us at [email protected].
- Supported Carriers: All major U.S. wireless carriers including AT&T, Verizon, T-Mobile, Sprint, and regional carriers.
- Prohibited Uses: You agree not to use our SMS program for any unlawful, fraudulent, or abusive purpose. You represent that the mobile number provided belongs to you.
9. Privacy & Data Protection
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the data practices described in our Privacy Policy.
10. Third-Party Services
Our platforms integrate with third-party services. Your use of these integrations is subject to the respective third party's terms:

- PawaPay: pawapay.io/terms
- Video Conferencing: Subject to the terms of our video conferencing infrastructure provider

Iris Secure is not responsible for the practices, content, or availability of third-party services.
11. Disclaimers & Limitation of Liability
11.1 Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 Limitation of Liability
To the fullest extent permitted by law, Iris Secure shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. This includes but is not limited to:
- Currency exchange rate fluctuations affecting Iris Pay payouts
- Delayed or failed payment processing by third-party providers
- Service interruptions or technical difficulties
- Delayed or undelivered SMS messages
- Inaccuracies in financial data obtained from third-party integrations
11.3 Maximum Liability
Our total liability for any claims arising from your use of our services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Iris Secure, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
13. Termination
- You may terminate your account at any time by contacting us or through account settings.
- We may suspend or terminate your access for violation of these Terms, with or without notice.
- Upon termination, your right to use our services ceases immediately.
- Data retention after account closure is governed by our Data Retention Policy.
- For Iris Pay sellers: pending payouts will be processed within 30 days of account closure, subject to any outstanding obligations.
14. Modifications to Terms
Iris Secure reserves the right to modify these Terms at any time. We will notify active users of material changes via email, in-app notification, or SMS. Continued use of our services after changes take effect constitutes acceptance of the updated Terms. The most current version is always available at https://irissecure.tech/terms-of-service.
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Worcester, Massachusetts.
